Contractual relationship\u003C/h2>\n\u003Cp>\nThese Terms of service constitute a legally binding agreement between you and Tingsapp Inc., a corporation incorporated under the laws of the Province of British Columbia, Canada. In these Terms, “Tingsapp”, “we”, “us”, and “our” refer to Tingsapp Inc., and “User”, “you”, and “your” refer to any person or entity that accesses, browses, uses, books through, or otherwise interacts with our website, mobile applications, communications, content, features, tools, and related services.\u003Cbr>\u003Cbr>\n\nThese Terms govern your access to and use of the Tingsapp platform and all related services, content, functions, interfaces, booking flows, payment features, support channels, and communications that we make available from time to time. By accessing or using the Services, by requesting a quote, by placing a booking, by communicating with us through the platform, or by otherwise indicating acceptance electronically, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services.\n\u003C/p>\n\n\u003Ch2>2. Nature of the services\u003C/h2>\n\u003Cp>\nTingsapp operates and provides a technology platform that enables Users to request, schedule, manage, and pay for moving, delivery, transportation, and related logistics services performed by independent third-party movers, service providers, contractors, carriers, crews, or delivery personnel who use the platform.\u003Cbr>\u003Cbr>\n\nTingsapp is not a moving company, motor carrier, freight forwarder, warehouse operator, packer, shipper, transportation company, or logistics operator. Tingsapp does not itself perform moving, loading, unloading, packing, transportation, delivery, storage, assembly, disassembly, or hauling services, and Tingsapp does not own or operate the vehicles, equipment, labor, or crews used to perform such services. All such services are performed solely by independent third-party Service Providers.\u003Cbr>\u003Cbr>\n\nYou understand and agree that Service Providers are independent contractors and are not employees, agents, representatives, partners, joint venturers, or franchisees of Tingsapp. Tingsapp does not direct, supervise, or control the physical performance of any service, does not guarantee the conduct of any Service Provider, and does not assume responsibility for the means, methods, timing, route selection, labor decisions, safety practices, staffing choices, or service execution decisions of any Service Provider. Any service relationship for the actual performance of a booked service is between you and the Service Provider.\n\u003C/p>\n\n\u003Ch2>3. Geographic scope and availability\u003C/h2>\n\u003Cp>\nThe Services are intended for use in Canada and may, at our discretion, be made available in selected regions, markets, provinces, municipalities, or service areas. Service availability depends on factors including service coverage, mover availability, vehicle availability, demand, weather, operational conditions, building access, scheduling constraints, regulatory restrictions, and other circumstances.\u003Cbr>\u003Cbr>\n\nTingsapp may add, remove, suspend, or modify service availability, service categories, supported locations, booking windows, quoted routes, and operational rules at any time and without notice. The fact that the platform is accessible in a location does not mean that bookings are available there or that a specific service request will be accepted or fulfilled.\n\u003C/p>\n\n\u003Ch2>4. Eligibility and authority to use the services\u003C/h2>\n\u003Cp>\nYou must be at least eighteen years of age, or the age of majority in your jurisdiction, and capable of forming a legally binding contract in order to use the Services. If you are using the Services on behalf of a business, corporation, partnership, organization, landlord, property manager, retailer, or any other legal entity, you represent and warrant that you are duly authorized to bind that entity to these Terms, and all references to “you” will include that entity.\u003Cbr>\u003Cbr>\n\nYou may not use the Services if doing so would violate any applicable law, regulation, court order, contractual restriction, or rights of any third party. You may not use the Services for unlawful, fraudulent, abusive, deceptive, or unauthorized purposes. We reserve the right to refuse access to any person or entity where use of the Services is prohibited, restricted, unsafe, operationally impractical, or otherwise not acceptable in our sole discretion.\n\u003C/p>\n\n\u003Ch2>5. Accounts, identity, and account security\u003C/h2>\n\u003Cp>\nYou may browse portions of the Services without a registered account, but in some cases an account may be created automatically or associated with you based on information you provide during a booking or inquiry process. You agree to provide true, accurate, current, and complete information and to promptly update such information if it changes.\u003Cbr>\u003Cbr>\n\nYou are responsible for maintaining the confidentiality and security of your account credentials, devices, authentication methods, and login access. You are responsible for all activity occurring under your account or using your credentials, whether or not authorized by you, unless prohibited by applicable law. You must notify us promptly if you believe your account, credentials, payment method, email address, or device has been compromised or used without authorization.\u003Cbr>\u003Cbr>\n\nTingsapp may verify identity, contact details, phone numbers, email addresses, payment instruments, account activity, booking history, and other account-related information as part of fraud prevention, safety monitoring, payment processing, compliance review, or operational risk management.\n\u003C/p>\n\n\u003Ch2>6. Quotes, estimates, and booking information\u003C/h2>\n\u003Cp>\nUsers may request quotes or submit service requests by entering information such as pickup and drop-off locations, service type, building type, item details, access conditions, elevators, stairs, time preferences, special handling requirements, and any other relevant details requested by the platform.\u003Cbr>\u003Cbr>\n\nAny quote, estimate, price display, booking screen, or preliminary amount generated through the platform is based on the accuracy and completeness of the information supplied by you. If the information you provide is incomplete, inaccurate, misleading, outdated, or materially changed, the quoted amount, service classification, scope of work, crew size, time allocation, vehicle requirements, or scheduling assumptions may no longer be valid. In those circumstances, additional charges may apply, the booking may be modified or cancelled, or the Service Provider may be unable or unwilling to perform the service.\u003Cbr>\u003Cbr>\n\nYou are solely responsible for ensuring that all job information is truthful, complete, and sufficiently detailed. This includes disclosing oversized items, fragile items, heavy items, unusual access conditions, long carries, assembly or disassembly needs, packing status, building rules, time restrictions, permit requirements, commercial delivery requirements, retail pickup conditions, and any known risks or limitations that may affect the service.\n\u003C/p>\n\n\u003Ch2>7. Booking formation and acceptance\u003C/h2>\n\u003Cp>\nA booking request submitted through the platform does not guarantee acceptance, confirmation, mover assignment, availability, or service completion. A booking is considered confirmed only when it has been accepted or assigned through the platform in accordance with our operational process.\u003Cbr>\u003Cbr>\n\nTingsapp may decline, cancel, reassign, delay, reschedule, or limit any booking request in its sole discretion, including where there are availability issues, safety concerns, pricing anomalies, suspected fraud, user misconduct, geographic constraints, weather events, payment issues, inaccurate booking details, or other operational reasons. Tingsapp does not guarantee that a requested service will be accepted, performed at a particular time, or completed without interruption.\u003Cbr>\u003Cbr>\n\nService Providers also retain the ability, subject to platform rules and applicable commitments, to refuse or discontinue performance where the job differs materially from the booked scope, where conditions are unsafe, unlawful, inaccessible, abusive, or impracticable, or where prohibited items or undisclosed circumstances are present.\n\u003C/p>\n\n\u003Ch2>8. Pricing, fees, and payment authorization\u003C/h2>\n\u003Cp>\nAll pricing shown on the platform is determined through Tingsapp’s pricing systems and may be based on factors such as service category, location, distance, estimated time, access conditions, demand, complexity, minimum charges, operational costs, taxes, and other relevant variables. Tingsapp reserves the right to update, adjust, correct, or modify pricing structures, service fees, minimum charges, booking fees, and pricing logic at any time.\u003Cbr>\u003Cbr>\n\nBy submitting a booking request or otherwise authorizing payment through the Services, you authorize Tingsapp, acting as limited payment collection agent for the applicable Service Provider where applicable, to charge your designated payment method for the quoted price, authorized adjustments, applicable taxes, gratuities selected by you, cancellation fees, damage-related holds where lawfully permitted, administrative fees, chargeback-related costs, and any other amounts due under these Terms or the booking. Temporary authorization holds, pre-authorizations, payment method verifications, or incremental authorizations may be placed before, during, or after the service.\u003Cbr>\u003Cbr>\n\nYou are responsible for maintaining a valid and chargeable payment method. If a payment method is declined, expires, is reversed, or fails for any reason, we may retry the charge, suspend your access to the Services, require another form of payment, or take lawful steps to recover amounts due. All amounts are stated and payable in Canadian dollars unless otherwise specified.\n\u003C/p>\n\n\u003Ch2>9. Pricing adjustments and additional charges\u003C/h2>\n\u003Cp>\nYou acknowledge and agree that the final amount charged may differ from an initial quote or displayed amount where permitted by applicable law and where justified by service conditions, including where the booking details provided by you were inaccurate or incomplete, where the job scope increased, where additional items were moved, where wait time occurred, where additional labor or time was required, where there were undisclosed stairs, elevators, access complications, long carries, parking limitations, building restrictions, special handling requirements, route changes, retail pickup complications, redelivery requirements, or other material deviations from the booked service.\u003Cbr>\u003Cbr>\n\nTingsapp may review and process post-service price adjustments in good faith based on platform records, Service Provider reports, support records, photographs, time records, communications, and other relevant information. We may also correct obvious pricing, calculation, or system errors before or after booking, provided that we act reasonably and in accordance with applicable law.\n\u003C/p>\n\n\u003Ch2>10. Cancellation, rescheduling, no-show, and failed service events\u003C/h2>\n\u003Cp>\nCancellation and rescheduling may affect pricing and fees. Unless a more specific policy is shown at the time of booking, the following general rules apply. If a booking is cancelled more than twenty-four hours before the scheduled time, no cancellation fee will generally apply. If a booking is cancelled within twenty-four hours of the scheduled time, a cancellation fee of twenty percent of the total booking value may apply. If the Service Provider has arrived at the pickup location, has commenced travel specifically for the booking, or the service has commenced, and the service cannot be completed due to circumstances attributable to you, a fee of up to fifty percent of the total booking value may apply.\u003Cbr>\u003Cbr>\n\nCircumstances attributable to you may include unavailability, incorrect address details, locked or inaccessible premises, inaccurate booking scope, undisclosed items, prohibited items, failure to comply with building rules, refusal to proceed, absence of required access permissions, unprepared items, unsafe conditions, abusive conduct, or any other condition that prevents or materially frustrates the performance of the booked service.\u003Cbr>\u003Cbr>\n\nTingsapp may also charge reasonable administrative fees, waiting charges, route-related charges, redelivery charges, or other amounts where a booking must be rescheduled, repeated, materially modified, or abandoned due to user-caused circumstances. We may waive, reduce, or modify any fee in our sole discretion on a case-by-case basis.\n\u003C/p>\n\n\u003Ch2>11. User responsibilities before and during service\u003C/h2>\n\u003Cp>\nYou agree to cooperate fully with the booking and service process and to ensure that the pickup and drop-off conditions are reasonably suitable for the booked service. Without limitation, you agree to provide accurate booking details, ensure lawful possession or authority over the items to be moved or delivered, ensure the locations are accessible, arrange required elevator bookings or strata permissions where applicable, secure pets, children, and hazards away from the work area, and ensure that items are properly packed and prepared unless packing services were specifically booked and confirmed.\u003Cbr>\u003Cbr>\n\nYou are responsible for ensuring that all items are ready at the scheduled time, that entrances and pathways are reasonably safe and clear, and that all building, concierge, loading dock, parking, and elevator requirements are understood and complied with. You are also responsible for ensuring that any special value, fragile, high-risk, oversized, or regulated items are clearly disclosed in advance.\u003Cbr>\u003Cbr>\n\nYou must treat Service Providers, support personnel, and platform representatives respectfully. Threatening, abusive, discriminatory, violent, or harassing conduct is strictly prohibited and may result in immediate cancellation, refusal of service, suspension, account termination, and legal action where appropriate.\n\u003C/p>\n\n\u003Ch2>12. Prohibited items and restricted services\u003C/h2>\n\u003Cp>\nYou may not use the Services to request, transport, store, or otherwise handle any item that is illegal, unsafe, hazardous, explosive, flammable, toxic, corrosive, biologically dangerous, perishable in a manner requiring specialized compliance, or restricted by law or by Tingsapp policy. This includes, without limitation, unlawful drugs, hazardous chemicals, explosives, fireworks, fuel, certain batteries, pressurized gases, waste materials, contraband, and any item the transport of which would violate applicable law or create unreasonable risk.\u003Cbr>\u003Cbr>\n\nYou must not request services involving firearms, ammunition, or weapons unless lawful, properly declared, safely secured, and expressly permitted under applicable law and service rules. Even where lawful, Service Providers and Tingsapp reserve the right to refuse such items. Service Providers may refuse to transport any item they believe is unsafe, unlawful, misrepresented, improperly packed, excessively heavy, structurally risky, or otherwise unsuitable for the booked service.\u003Cbr>\u003Cbr>\n\nTingsapp may prohibit additional categories of items or services from time to time and may publish or communicate operational restrictions, packaging requirements, item-specific rules, or safety guidance. You are solely responsible for compliance with such requirements.\n\u003C/p>\n\n\u003Ch2>13. Service provider performance and third-party disclaimers\u003C/h2>\n\u003Cp>\nBecause all moving, transportation, delivery, and related labor is performed by independent third-party Service Providers, Tingsapp does not guarantee the quality, safety, suitability, legality, timeliness, professionalism, availability, route, staffing level, vehicle condition, or successful completion of any service. While Tingsapp may take operational steps to facilitate bookings, support communications, collect reviews, or maintain marketplace standards, Tingsapp does not warrant that any Service Provider will meet your expectations or any particular performance standard.\u003Cbr>\u003Cbr>\n\nTingsapp is not responsible for delays, missed time windows, partial completion, failed pickup, route changes, labor decisions, or service outcomes caused by Service Providers, traffic, weather, building rules, third-party store operations, access issues, user-supplied information, or other conditions outside our direct control. Any dispute concerning the physical execution of the service is fundamentally related to services performed by the independent Service Provider.\n\u003C/p>\n\n\u003Ch2>14. Damage protection, loss, and claims procedure\u003C/h2>\n\u003Cp>\nService Providers using the platform are expected, subject to platform requirements and applicable law, to maintain insurance or coverage appropriate to the services they perform. However, Tingsapp does not itself insure your goods and is not an insurer, bailee, or guarantor of cargo, furniture, household goods, retail merchandise, equipment, or any other property.\u003Cbr>\u003Cbr>\n\nUnless a different protection level is expressly provided in writing for a specific service, any basic valuation or protection that may apply through a Service Provider is limited and may not reflect the actual replacement cost, market value, sentimental value, special value, or consequential value of an item. You acknowledge that a commonly referenced basic protection framework may be limited to sixty cents per pound per item where applicable, and that such coverage, if any, is limited in nature. If you want greater protection, you are solely responsible for obtaining independent insurance or confirming any optional coverage made available through the relevant Service Provider or through your own insurer.\u003Cbr>\u003Cbr>\n\nAll claims for loss, damage, shortage, delay-related loss, concealed damage, breakage, or item condition issues must be made promptly and directly against the responsible Service Provider in accordance with any applicable legal timelines, insurance procedures, or claim requirements. Tingsapp may, in its discretion, facilitate communications, request supporting documents, or review booking records, but Tingsapp does not assume liability for such claims, does not adjudicate them as an insurer, and does not promise any recovery. You agree to preserve evidence, take reasonable steps to mitigate loss, and provide truthful supporting information when making a claim.\n\u003C/p>\n\n\u003Ch2>15. B2B, retail, and commercial services\u003C/h2>\n\u003Cp>\nTingsapp may make the platform available for business, retail, store-delivery, commercial, office, property management, landlord, staging, fixture, or other enterprise-related bookings. In such cases, the platform still functions solely as a technology intermediary, and the underlying labor and transportation are still performed by independent Service Providers.\u003Cbr>\u003Cbr>\n\nBusinesses and commercial users are responsible for ensuring accurate inventory details, lawful tendering of goods, proper packaging, site readiness, access permissions, loading dock rules, receiver availability, compliance with product-specific regulations, and all necessary commercial authorizations. Tingsapp is not responsible for stock discrepancies, inventory shrinkage, packaging defects, merchant errors, receiver refusals, fulfillment mistakes, failed internal handoffs, or commercial losses.\u003Cbr>\u003Cbr>\n\nWhere a business books services for the benefit of a third party, including a customer, tenant, employee, purchaser, or consignee, that business remains responsible for the accuracy of booking information, payment obligations, and compliance with these Terms, unless Tingsapp expressly agrees otherwise in writing.\n\u003C/p>\n\n\u003Ch2>16. Reviews, ratings, communications, and user content\u003C/h2>\n\u003Cp>\nYou may be permitted to submit reviews, ratings, messages, photographs, videos, comments, suggestions, feedback, support materials, or other content through the Services. You represent and warrant that you own or control the rights necessary to submit such content and that your content does not violate any law or infringe any third-party rights.\u003Cbr>\u003Cbr>\n\nBy submitting content, you grant Tingsapp a worldwide, non-exclusive, transferable, sublicensable, perpetual, irrevocable, royalty-free license to host, store, reproduce, modify, adapt, publish, translate, create derivative works from, display, distribute, use, and otherwise exploit such content in connection with operating, improving, marketing, defending, and promoting the Services and our business. This license survives termination, subject to applicable law.\u003Cbr>\u003Cbr>\n\nYou must not submit content that is false, defamatory, abusive, threatening, discriminatory, obscene, fraudulent, misleading, invasive of privacy, or otherwise unlawful. We may remove, refuse, moderate, redact, or retain content in our sole discretion, without notice, and without assuming any obligation to do so.\n\u003C/p>\n\n\u003Ch2>17. Intellectual property and limited license\u003C/h2>\n\u003Cp>\nAll rights, title, and interest in and to the Services, including the platform, software, code, interfaces, workflows, booking logic, pricing systems, designs, trademarks, logos, trade names, service marks, branding, compilations, text, graphics, icons, images, audiovisual content, documentation, and all related intellectual property rights, are owned by Tingsapp or its licensors and are protected by Canadian and international intellectual property laws.\u003Cbr>\u003Cbr>\n\nSubject to your compliance with these Terms, Tingsapp grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for their intended lawful purpose. You may not copy, modify, distribute, sell, resell, scrape, harvest, frame, mirror, reverse engineer, decompile, create derivative works from, exploit, or use any part of the Services except as expressly permitted by law or by prior written consent from Tingsapp.\n\u003C/p>\n\n\u003Ch2>18. Acceptable use restrictions\u003C/h2>\n\u003Cp>\nYou agree not to use the Services in any manner that could interfere with, damage, disable, overburden, disrupt, or compromise the platform, other users, Service Providers, or our systems. Without limitation, you may not attempt unauthorized access, bypass security measures, probe vulnerabilities, introduce malicious code, use bots or automated extraction tools without permission, create fake accounts, manipulate reviews, engage in payment fraud, impersonate another person, or misuse support channels.\u003Cbr>\u003Cbr>\n\nYou may not use the Services to harass, intimidate, or discriminate against any person, to engage in deceptive or misleading commercial conduct, to violate any law, or to exploit the platform in bad faith. We reserve the right to investigate suspected misuse and to cooperate with law enforcement, regulators, payment processors, insurers, or other relevant parties where appropriate.\n\u003C/p>\n\n\u003Ch2>19. Privacy and data handling\u003C/h2>\n\u003Cp>\nYour use of the Services is also governed by our Privacy Policy, which describes how we collect, use, disclose, retain, and protect personal information. By using the Services, you acknowledge that your information may be processed in accordance with that policy.\u003Cbr>\u003Cbr>\n\nYou understand that operation of the Services may require the sharing of booking-related information with Service Providers, payment processors, communications vendors, fraud-prevention tools, customer support providers, insurers, legal advisors, and other service providers or partners as reasonably necessary to operate the platform, process payments, provide support, investigate disputes, prevent fraud, or comply with law. You consent to receiving transactional communications, service notices, booking updates, support messages, and other essential operational communications electronically.\n\u003C/p>\n\n\u003Ch2>20. Promotions, credits, discounts, and referrals\u003C/h2>\n\u003Cp>\nTingsapp may, from time to time, offer promotions, discount codes, referral incentives, credits, coupons, or other benefits. Such offers are optional, limited, revocable, and subject to additional terms presented with the offer. Promotions may be restricted by time, geography, service type, account status, or other conditions.\u003Cbr>\u003Cbr>\n\nPromotional credits and discounts have no cash value unless required by law, may not be transferred, resold, or redeemed for cash, and may be cancelled or withheld in cases of abuse, duplication, error, suspected fraud, or violation of these Terms. Tingsapp reserves the right to interpret and administer all promotional programs in its sole discretion.\n\u003C/p>\n\n\u003Ch2>21. Disclaimer of warranties\u003C/h2>\n\u003Cp>\nTo the fullest extent permitted by applicable law, the Services are provided on an “as is”, “as available”, and “with all faults” basis. Tingsapp makes no representations, warranties, conditions, or guarantees of any kind, whether express, implied, statutory, or collateral, including any implied warranty or condition of merchantability, merchantable quality, fitness for a particular purpose, title, non-infringement, quiet enjoyment, availability, accuracy, reliability, timeliness, quality of service, uninterrupted access, or error-free operation.\u003Cbr>\u003Cbr>\n\nWithout limiting the foregoing, Tingsapp does not warrant that the platform will always be available, that any quote or booking will be accepted, that any Service Provider will perform satisfactorily, that any goods will arrive undamaged or on time, that any communication will be delivered, or that any defect will be corrected. Any information, estimate, support statement, or assistance provided by Tingsapp is for convenience only and does not create a warranty or guarantee unless expressly stated in writing.\n\u003C/p>\n\n\u003Ch2>22. Limitation of liability\u003C/h2>\n\u003Cp>\nTo the fullest extent permitted by applicable law, Tingsapp and its directors, officers, shareholders, employees, affiliates, contractors, representatives, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, aggravated, punitive, or economic damages, or for any loss of profits, loss of revenue, loss of business, loss of opportunity, loss of goodwill, data loss, emotional distress, property damage, personal injury, service interruption, or substitute service costs arising out of or relating to the Services, even if advised of the possibility of such damages.\u003Cbr>\u003Cbr>\n\nWithout limiting the generality of the foregoing, Tingsapp shall not be liable for acts or omissions of any Service Provider, damage to or loss of goods, delays, failed deliveries, booking errors caused by inaccurate user inputs, unsafe premises, building restrictions, third-party misconduct, communication failures, payment processor actions, chargebacks, cyber incidents, unauthorized account access, or events beyond Tingsapp’s reasonable control.\u003Cbr>\u003Cbr>\n\nIf, notwithstanding these Terms, Tingsapp is found liable to you for any claim arising out of or relating to the Services, Tingsapp’s aggregate liability shall not exceed the lesser of the amount you paid through the platform for the specific booking giving rise to the claim or one hundred Canadian dollars, except where a greater minimum amount is required by applicable law. The existence of more than one claim shall not enlarge this limit.\n\u003C/p>\n\n\u003Ch2>23. Indemnification\u003C/h2>\n\u003Cp>\nYou agree to defend, indemnify, and hold harmless Tingsapp and its directors, officers, employees, affiliates, successors, assigns, contractors, licensors, and agents from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, penalties, fines, losses, costs, and expenses, including reasonable legal fees and disbursements, arising out of or relating to your use of the Services, your booking details, your items, your breach of these Terms, your violation of law, your negligence, your misconduct, your user content, your interactions with a Service Provider, or any claim brought by a third party in connection with your acts or omissions.\u003Cbr>\u003Cbr>\n\nTingsapp reserves the right, at your expense where lawfully permitted, to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate fully with that defence. You may not settle any such matter in a manner that imposes liability or obligations on Tingsapp without Tingsapp’s prior written consent.\n\u003C/p>\n\n\u003Ch2>24. Suspension, refusal of service, and termination\u003C/h2>\n\u003Cp>\nTingsapp may, at any time and without prior notice where permitted by law, suspend, restrict, limit, deactivate, or terminate your access to the Services, cancel pending bookings, refuse new bookings, remove content, or take other protective action if we believe, in our sole discretion, that you have breached these Terms, provided false information, engaged in fraud or abuse, created risk or liability, disrupted operations, mistreated a Service Provider or staff member, attempted to evade fees, caused repeated disputes, or otherwise used the Services in an unacceptable manner.\u003Cbr>\u003Cbr>\n\nYou may stop using the Services at any time. Termination or suspension does not affect any rights or obligations that accrued before termination, including payment obligations, claim procedures, dispute rights, limitation of liability protections, intellectual property rights, licenses already granted, and any provisions that by their nature are intended to survive termination.\n\u003C/p>\n\n\u003Ch2>25. Force majeure\u003C/h2>\n\u003Cp>\nTingsapp shall not be liable for any delay, failure, interruption, suspension, inaccuracy, or non-performance resulting from causes beyond its reasonable control, including natural disasters, severe weather, wildfire, flood, earthquake, epidemic, pandemic, labor disruption, civil disturbance, war, terrorism, cyberattack, internet outage, telecommunications failure, electrical failure, transportation disruption, government order, regulatory action, court order, supply shortage, or other force majeure event.\u003Cbr>\u003Cbr>\n\nWhere such circumstances affect service performance, bookings may be delayed, rescheduled, modified, or cancelled, and Tingsapp shall have no liability arising solely from such events.\n\u003C/p>\n\n\u003Ch2>26. Dispute resolution and arbitration\u003C/h2>\n\u003Cp>\nYou and Tingsapp agree to attempt to resolve disputes in good faith before commencing formal proceedings. If you have a dispute, you should first contact us and provide a reasonable opportunity to review and address the issue. If a dispute cannot be resolved informally, then, to the fullest extent permitted by law, any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration seated in Vancouver, British Columbia, on an individual basis and not as a class, collective, representative, or public proceeding.\u003Cbr>\u003Cbr>\n\nYou and Tingsapp each waive, to the fullest extent permitted by law, any right to a trial by jury and any right to participate as a plaintiff or class member in any purported class action, class arbitration, representative action, or consolidated proceeding. Nothing in this section prevents either party from seeking temporary, preliminary, or injunctive relief in a court of competent jurisdiction where necessary to protect rights pending arbitration, or from bringing an eligible claim in a court or tribunal where arbitration is prohibited by law.\u003Cbr>\u003Cbr>\n\nIf any portion of this dispute resolution section is found unenforceable as to a particular claim or remedy, the remainder of the section shall remain in effect to the maximum extent permitted by law.\n\u003C/p>\n\n\u003Ch2>27. Governing law\u003C/h2>\n\u003Cp>\nThese Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles, except to the extent superseded by mandatory consumer protection laws that apply in your jurisdiction.\n\u003C/p>\n\n\u003Ch2>28. Changes to the services and changes to these terms\u003C/h2>\n\u003Cp>\nTingsapp may modify, suspend, discontinue, replace, or update any part of the Services at any time, including features, availability, service categories, pricing systems, interfaces, support channels, eligibility requirements, or technical functionality. We may also update these Terms from time to time to reflect operational, legal, regulatory, or business changes.\u003Cbr>\u003Cbr>\n\nWhere required by law, we will provide notice of material changes in an appropriate manner. Your continued use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms, except where a different form of consent is required by law. If you do not agree to revised Terms, you must stop using the Services.\n\u003C/p>\n\n\u003Ch2>29. Assignment and relationship of the parties\u003C/h2>\n\u003Cp>\nYou may not assign, transfer, delegate, or otherwise dispose of any rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this section is void. Tingsapp may assign, transfer, subcontract, delegate, or otherwise deal with these Terms or any rights or obligations under them, in whole or in part, without restriction and without prior notice, subject to applicable law.\u003Cbr>\u003Cbr>\n\nNothing in these Terms creates any joint venture, partnership, employment, agency, fiduciary, or franchise relationship between you and Tingsapp. No party has authority to bind the other except as expressly stated in these Terms.\n\u003C/p>\n\n\u003Ch2>30. General provisions\u003C/h2>\n\u003Cp>\nIf any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law. Any failure by Tingsapp to enforce a right or provision shall not constitute a waiver of that right or provision unless expressly acknowledged by us in writing. A waiver in one instance shall not be deemed a waiver in any other instance.\u003Cbr>\u003Cbr>\n\nThese Terms, together with any policies or supplemental terms expressly incorporated by reference, constitute the entire agreement between you and Tingsapp regarding the subject matter hereof and supersede prior or contemporaneous understandings, communications, proposals, and agreements relating to that subject matter, except where Tingsapp and a business user have executed a separate written agreement governing specific services.\u003Cbr>\u003Cbr>\n\nSection headings are for convenience only and do not affect interpretation. References to legislation include amendments and successor enactments. Unless the context requires otherwise, words importing the singular include the plural and vice versa, and words such as “including” and “includes” mean “including without limitation”.\n\u003C/p>\n\n\u003Ch2>31.
