Contract agreement

This mover contract agreement is entered into between Tingsapp Inc., a corporation existing under the laws of British Columbia, together with its affiliates, successors, and permitted assigns, referred to in this agreement as "Tingsapp," and the individual or business entity electronically accepting this agreement during the mover onboarding or account registration process, referred to in this agreement as the "Mover."
This agreement becomes effective on the date the Mover accepts it electronically and continues unless and until terminated in accordance with its terms. By accepting this agreement, the Mover confirms that the Mover has read, understood, and agreed to be legally bound by all of its provisions.
This agreement governs the Mover's access to and use of the Tingsapp websites, mobile applications, software, communications, tools, payment workflows, and related technology services that enable customers to request and schedule moving, delivery, transportation, loading, unloading, packing, assembly, disassembly, logistics, and related services from independent third-party service providers.
1. Nature of the relationship and the services
Tingsapp operates a technology platform and marketplace. Tingsapp is not a mover, carrier, household goods carrier, transportation company, warehouse operator, employer, or staffing agency, and Tingsapp does not itself provide moving or logistics services.
The Mover acknowledges that all services are performed solely by the Mover as an independent business and not by Tingsapp.
The Mover is solely responsible for all operational aspects of each service including staffing, supervision, handling goods, driving, safety, and compliance with laws.
2. Eligibility, authority, and account registration
The Mover represents that they have legal authority to enter this agreement and must provide accurate and updated information during onboarding and account use.
The Mover is responsible for maintaining account security and all activity under their account.
3. Independent contractor status
The Mover is an independent contractor and not an employee, agent, or partner of Tingsapp.
The Mover is solely responsible for all expenses including vehicles, fuel, insurance, labour, and taxes.
4. Order opportunities and performance obligations
The Mover may accept or reject job opportunities. Once accepted, the Mover is obligated to complete the job professionally.
Failure to perform accepted jobs properly may result in suspension or termination.
5. Personnel and subcontractors
The Mover is fully responsible for all personnel and subcontractors engaged in providing services.
The Mover must ensure proper vetting, training, and legality of all workers.
6. Service standards and conduct
The Mover must provide services professionally, safely, and respectfully.
Any misconduct, unsafe behaviour, or fraud may result in penalties or account termination.
7. Vehicles and equipment
The Mover must supply and maintain all required vehicles and equipment in safe and lawful condition.
8. Legal compliance
The Mover must comply with all applicable laws, regulations, and licensing requirements.
9. Insurance and risk
The Mover must maintain appropriate insurance coverage and is fully responsible for claims and risks related to their services.
10. Pricing, fees, and taxes
Tingsapp controls pricing. The Mover receives payouts minus applicable service fees.
The Mover is responsible for all tax obligations.
11. Payments and payouts
Payouts are typically processed weekly, subject to verification and deductions.
12. Customer property and incidents
The Mover is responsible for customer property during service and must report any incidents immediately.
13. Privacy and confidentiality
The Mover must protect customer data and use it only for service purposes.
14. Intellectual property
Tingsapp retains all platform rights. The Mover grants limited licence to use submitted content for platform operations.
15. Non-exclusivity
The agreement is non-exclusive. The Mover may work independently outside the platform.
16. Representations and warranties
The Mover confirms all provided information is accurate and agrees not to engage in fraud or misconduct.
17. Suspension and termination
Tingsapp may suspend or terminate access for violations or risks. The Mover may terminate with notice.
18. Indemnification
The Mover agrees to indemnify Tingsapp against claims arising from their services or actions.
19. Limitation of liability
Tingsapp is not liable for indirect damages and liability is limited to service fees in most cases.
20. Dispute resolution
Disputes are governed by British Columbia law and may be resolved through arbitration in Vancouver.
21. General provisions
This agreement is the full agreement between parties. It may be updated, assigned, and interpreted under standard legal principles.
Acknowledgement
By accepting this agreement, the Mover confirms they understand and agree to be legally bound by it.
